Terms of Service

1. Scope and Acceptance

These Terms govern the use of the Tippale platform ("the Service") operated by Tippale.com. Account users expressly accept these Terms during registration completion or invitation acceptance. An authorised business representative separately accepts the business agreement and DPA during setup; invited employees do not thereby become subscription customers or enter into a DPA for their employer. The Service is intended for businesses (B2B); consumers are not the target audience.

2. Description of the Service

Tippale is a management platform for hospitality businesses. Depending on the plan, it includes:

  • Tip pools, automatic distribution and personal tip reports
  • Shift scheduling, open shifts, shift swaps, availability, vacation and sick-leave management
  • Time tracking with clock-in/out, optionally with GPS verification at the business location
  • Payroll for Germany: payslips, social-security and wage-tax calculations, contribution statements, DATEV exports and reports to support manual entry into the SV-Meldeportal or ELSTER; no automated submission or general file-import compatibility is promised
  • Accounting: daily sales, purchases, cash book (Kassenbuch), VAT and profit-and-loss summaries, inventory counts and reports for your accountant
  • Purchasing: vendors, products, purchase orders and price tracking from supplier invoices
  • Document inbox: receiving invoices and POS reports by e-mail, upload or scan with automated data extraction
  • Integrations with POS systems (e.g. SumUp, Vectron, Lightspeed), Wix and delivery platforms
  • Team chat, notifications and push notifications
  • AI assistants for scheduling, insights and employee questions
  • Employee self-service: onboarding forms, personal data, documents, contracts and payslips

3. Accounts, Roles and Invitations

The business owner creates the account and may invite managers and employees. Owners and managers are responsible for keeping team data, roles and permissions accurate and for removing people who leave the business. Every user must keep their credentials confidential and notify us immediately of any unauthorised use.

4. Plans, Trial and Payment

New businesses receive full access for a non-renewing 14-day trial. If no paid plan is purchased, access is locked when the trial ends; stored data remains available after a plan is activated.

The current Core, Pro and Complete plans, optional add-ons, billing period, net price and VAT are shown before purchase and become part of the order.

Payments are processed by Base44 Payments. Paid subscriptions renew automatically for the chosen billing period and can be cancelled at any time with effect from the end of the current period. Price changes are announced at least 30 days in advance and do not affect periods already paid for.

5. Your Responsibilities as Employer

Tippale supports but does not replace your obligations as an employer and business owner. You remain responsible for:

  • Lawful tip distribution and correct working-time records (e.g. ArbZG, MiLoG)
  • Checking payroll results before paying out or reporting them, and for the submission of official reports to tax offices, health insurers and authorities
  • Correctness of accounting data, cash books and documents provided to your accountant or tax office
  • Entering only data you are legally allowed to process and informing your employees about the use of Tippale
  • Configuring GPS verification, POS connections and e-mail intake in accordance with local law

6. Payroll and Accounting Disclaimer

Tippale enables business owners to prepare and manage payroll and accounting independently, without requiring a tax adviser. Payroll, tax and social-security calculations are based on statutory parameters that we maintain with due care, but they remain computational aids and do not constitute tax or legal advice. Tippale currently does not transmit official filings directly to authorities; you may review and submit the generated information or exports yourself, or appoint a tax adviser to do so. You remain responsible for checking entries, calculation results and filings before they are used or submitted; statutory liability remains unaffected.

7. AI Features

AI functions (schedule generation, insights, assistants, document extraction) produce suggestions that must be reviewed by a person before being applied. Results may be incomplete or incorrect. AI features are only available on plans that include them and may use third-party AI models via our hosting provider; processing is governed by the applicable data-processing agreements and provider settings.

8. Integrations and Third-party Services

Integrations with POS systems, Wix, delivery platforms and payment providers are subject to the respective provider's terms. You are responsible for the credentials you enter and for the permission to connect those systems. We are not responsible for the availability or accuracy of third-party data.

9. Prohibited Uses

  • Violating laws, in particular labour, tax and data-protection law
  • Entering data of persons without a legal basis
  • Manipulating time records, tip data or accounting entries to deceive employees, authorities or third parties
  • Attempting unauthorised access, reverse engineering or disrupting the Service
  • Reselling the Service without our written consent

10. Data Protection

For your employees' data, your business is the controller and Tippale acts as processor under a Data Processing Agreement (Art. 28 GDPR), which forms part of these Terms. Details are set out in our Privacy Policy and DPA.

11. Availability and Changes

We aim for high availability but do not guarantee uninterrupted access. Maintenance windows are announced where possible. We may develop, change or discontinue features; material reductions in scope are communicated in advance.

12. Liability

We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence we are liable only for breaches of essential contractual duties, limited to the foreseeable damage typical for the contract. Liability for lost profits, indirect damage and data loss that could have been avoided by reasonable backups is excluded to the extent permitted by law.

13. Term and Termination

Either party may terminate at any time with effect from the end of the paid period; free accounts may be closed at any time. We may suspend accounts in case of material breaches or payment default. Export your data while access is active. After access is locked or the contract ends, request return or deletion through the contact listed below; self-service exports are not available while locked. The employer remains responsible for statutory record retention.

14. Changes to these Terms

We may amend these Terms for a legitimate reason, such as a change in law or the Service. Changes are announced at least 30 days in advance. Changes affecting essential contractual obligations require express acceptance; if you do not accept them, you may terminate before they take effect.

15. Governing Law and Venue

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, the place of jurisdiction is the registered office of Tippale.com.
